1. Preamble
These General Terms and Conditions of Sale (hereinafter referred to as “GTC”) govern the contractual relationship between Tranquilys, a SASU registered with the Paris Trade and Companies Register under number 921 476 149 (hereinafter referred to as “we” or “Tranquilys”), a company specializing in digital transformation, and its clients (hereinafter referred to as “you” or “the Client”). By placing an order with Tranquilys, you unconditionally accept these GTC.
2. Purpose
The GTC are intended to define the rights and obligations of the parties in the context of the sale of digital transformation services, including but not limited to consulting, the creation of digital solutions, and strategic support.
3. Services
3.1. Description of Services
Tranquilys offers various services related to digital transformation:
– Digital Audit
– Advanced Web Development
– Strategic Digital Transformation
3.2. Customization
Our services are customized according to the specific needs of each client.
4. Order
4.1. Quote
Any order is subject to a detailed and personalized quote, accepted by the Client. The Client’s signature of the quote constitutes acceptance of the GTC.
4.2. Validation
The order is validated upon receipt of the signed quote accompanied by the payment of the required deposit according to the terms specified below.
Prices and Payment
5.1. Prices
Prices are expressed in euros and are not subject to VAT in accordance with Article 293 B of the French General Tax Code (CGI).
5.2. Payment Terms
Payment terms vary depending on the nature of the service:
For standard services:
– 30% upon order
– 40% mid-project
– 30% upon delivery
For shorter services:
– 50% upon order
– 50% upon delivery
For services in the form of a monthly subscription:
– Monthly payment on a fixed date agreed with the Client
5.3. Late Payment
In the event of late payment, late payment penalties equal to three times the legal interest rate will apply, as well as a fixed compensation for recovery costs of 40 euros.
6. Delivery Deadlines
Delivery deadlines are indicated in the quote. Tranquilys undertakes to meet the agreed deadlines, provided that the Client supplies the necessary elements for the performance of the services in a timely manner.
7. Client Obligations
The Client undertakes to provide Tranquilys with all the necessary information and documents for the proper performance of the services. The Client is responsible for the accuracy and truthfulness of the information provided.
8. Intellectual Property
Tranquilys retains intellectual property rights to the creations made until full payment for the services by the Client. Upon receipt of full payment, the usage rights are transferred to the Client.
9. Confidentiality
The parties undertake to keep all information exchanged in the context of the performance of the services confidential, both during and after the contract duration.
10. Warranty and Liability
10.1. Warranty
Tranquilys guarantees the conformity of the services with the specifications of the project brief. In the event of non-conformity, the Client has a period of 30 days to report any defect.
10.2. Limitation of Liability
Tranquilys’ liability is limited to the amount of the services ordered. Tranquilys cannot be held liable for indirect or unforeseeable damages.
11. Withdrawal
In accordance with legal provisions, the Client has a withdrawal period of 14 days from the signing of the quote, unless the service has begun with their prior consent.
12. Dispute Resolution
In the event of a dispute, the parties undertake to seek an amicable solution. Failing an agreement, the dispute will be submitted to the competent courts within the jurisdiction of Paris.
13. Modification of the GTC
Tranquilys reserves the right to modify these GTC at any time. The new general terms and conditions of sale will apply to orders placed after they are posted on the Tranquilys website.
14. Acceptance of the GTC
By placing an order, the Client unconditionally accepts these GTC.
